Draft for review. This is a working template prepared to support platform and partner onboarding. Have it reviewed by a qualified lawyer before public launch.

These Terms of Service ("Terms") govern your access to and use of the Pay2Bridge website, applications, and services (the "Service"), operated by Mocan Group Inc, doing business as Pay2Bridge ("Pay2Bridge," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. What Pay2Bridge is

Pay2Bridge is a technology interface that lets users create and share payment requests. Card processing, identity verification (KYC/AML), currency conversion, and settlement are performed by licensed third-party payment partners. Pay2Bridge is not a bank, money transmitter, or custodian, and does not take custody of your funds or your customers' funds at any point.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for providing accurate information and for all activity under your account. You agree to complete any identity or business verification our partners require.

3. Acceptable use

You may not use the Service for any unlawful purpose or for any business or product prohibited by our payment partners, including but not limited to: illegal drugs or pharmaceuticals, unapproved or research-use substances, weapons, adult content, gambling, counterfeit goods, or any activity that facilitates money laundering, fraud, or sanctions evasion. We and our partners may decline, suspend, or reverse transactions that violate these rules or applicable law.

4. Payments and settlement

When you create a payment request, the buyer pays through a licensed partner, and funds settle to the wallet or account you designate, in the asset and network selected. You are responsible for the accuracy of your settlement details. Fees, limits, chargebacks, and refunds are governed by the applicable partner's terms in addition to these Terms.

5. No custody; your responsibility

Pay2Bridge never holds, controls, or has access to your funds. Balances shown in the Service reflect amounts held by our licensed partners or in wallets you control. You are solely responsible for securing your wallet, keys, and account credentials.

6. Compliance

You agree to comply with all applicable laws, including anti-money-laundering, sanctions, tax, and consumer-protection laws. You will not misrepresent the nature of your business or transactions to us or our partners.

7. Disclaimers

The Service is provided "as is" without warranties of any kind. Cryptocurrency involves risk, including price volatility and irreversible transactions. We do not provide financial, legal, or tax advice.

8. Limitation of liability

To the maximum extent permitted by law, Pay2Bridge and its affiliates are not liable for indirect, incidental, or consequential damages, or for losses arising from partner services, blockchain networks, or your own errors. Our aggregate liability is limited to the fees you paid us in the preceding three months.

9. Changes and termination

We may update these Terms or the Service at any time. We may suspend or terminate accounts that violate these Terms or applicable law. Continued use after changes constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
